Associate/Reseller Program

This Agreement (the "Agreement") contains the complete terms and conditions which govern the use of any services provided by SupplyLink International Pty Ltd. As used in this Agreement, "SupplyLink", "Supplier" means SupplyLink International Pty Ltd and "Reseller" or "Associate" means the person who completed the "Reseller" Order Form or the "Associate" Application Form respectively and "Client" means the Client. By clicking on the Forms "Proceed" button, you acknowledge that you have read and understand this Agreement, and you agree to its terms and conditions and all policies posted on the SupplyLink site. As referred to in this Agreement, "Site" refers to a World Wide Web site and "SupplyLink Site" refers to the Site located at the URL http://www.supplylinkinternational.com, or any other Sites owned by SupplyLink International Pty Ltd.

Any person or organization may apply to join the SupplyLink Reseller Program.  SupplyLink  reserves the right to accept or reject applications to join its Reseller Program at its sole discretion.

Reseller discounts and Associate commissions apply to account setup and monthly hosting fees, but not to account add-on fees.

People or organizations who sign up under any SupplyLink Reseller Program shall be referred to as "Resellers" for the purposes of this document.  The following terms and conditions apply to the Associates and the Reseller Plans:

• Resellers must ensure that all their Client's accounts (including resold accounts) are operated in accordance with SupplyLink's Terms Of Service.  The Reseller shall be liable for any breach of these Terms Of Service (including breaches of hosting packages setup by the Reseller).  SupplyLink reserves the right to terminate any account at its sole discretion and without notice if the account holder is suspected to have breached the Terms Of Service relating to their account.  In such circumstances, the Reseller will be notified via email.
• Resellers must ensure that all clients are properly identified before allowing them to have access to the servers.  It is common for hackers, spammers and other computer criminals to attempt to gain access to Internet servers by signing up for web hosting plans under false names, addresses etc.  It is therefore critical that Resellers ensure that you know the identity of all your clients before you purchase accounts for them.  This can be achieved, for example, by clearing credit card details (with address-based verification) before processing a client's order.
• Resellers must provide all technical support to their clients.  If requested by email by the Reseller, SupplyLink staff will perform technical support tasks on the Reseller's behalf when access to a Reseller's account is required.  SupplyLink will provide further advice and technical support to Resellers by email at SupplyLink's sole discretion. However, Resellers will be expected to be generally self-sufficient in providing technical support to their clients.
• Resellers will pay SupplyLink directly for all resold accounts except where SupplyLink directly bills the end user. Billing shall be on the basis of the selected plan, unless pre-paid annually, and payment is required in advance.  Should accounts become overdue then the Reseller's account will be suspended with the Reseller loosing all entitlement to any discounts and as such the Reseller agrees to pay SupplyLink's retail rates for all the Reseller's resold accounts. An administration fee is applicable to restore (unsuspend) each suspended account. Once the Reseller's account is paid in full with cleared funds all accounts will be restored.  Resellers are responsible for collecting any monies due from their own customers.  Resellers may charge their own clients any price they think the market will bear.
• Resellers must communicate with all their clients on all matters.  SupplyLink will not contact the Reseller's clients directly on any matters concerning their account(s) unless the Reseller has breached SupplyLink's terms of trade. 
• If a Reseller's Client sends an email to SupplyLink or uses the SupplyLink Support Ticket Form for Technical support then the Reseller agrees they have provided same to the Client and in consideration of SupplyLink responding to the email the Reseller agrees to pay SupplyLink the Reseller's Client Support Fee for each email sent to the Client. 
• For security reasons the Reseller agrees that they will ensure that all files and folders related to a Domain Name listed in the Reseller's List Accounts will be hosted and contained within the space allocated to the Domain Name and that no external links to files of folders using the Domain Name will be allowed.
• The Reseller agrees to indemnify and hold SupplyLink and any of its Associates harmless from any and all claims resulting from the use of the service, including claims relating to damage to the subscriber or to any other party.
• Reseller discounts only apply to SupplyLink's standard web hosting plans as advertised on http://www.supplylinkinternational.com. Reseller discounts do not apply to promotions.
• When you place an order for a new hosting account through our Reseller Program and require a new domain name for the site, then you will qualify to have that domain name registered for only AUD$16.50. Domains are registered through our own registration form.  There are a few things you should know about this service:
  • Only .com, .net and .org domain names can be registered through this facility;
  • The AUD$16.50 price only applies to domain names registered through our registration service.   If you register a domain name through another registration service then this AUD$16.50 offer does not apply and SupplyLink will not reimburse you or pay any part of such registration fees;
  • You qualify for the AUD$16.50 registration as soon as the site is set up on our servers. As soon as we email you with the new account's details then we will be able to process the domain name for AUD$16.50  If you register the domain name prior to having the hosting account set up then you will be charged normal retail for the registration;
  • This offer is only available to Reseller Gold and A Reseller customers (not Associate Plan customers);
  • The domain name registration fee will appear on your next bill.
• The Reseller may withdraw from the Reseller program at any time.  In such circumstances, any continuing accounts will be charged at normal retail price.  The Reseller will continue to be responsible for any payments due from continuing accounts unless other arrangements are made with the consent of both SupplyLink and the Reseller's continuing clients.

Associate Program

The following conditions apply to the Associate Plan:

• The Supplier will pay a commission as advertised in our Reseller Section to the Associate on all hosting fees exclusive of setup and add-ons.  If the referred client purchases additional accounts after their initial purchase, commissions will also be paid on the additional accounts. 
• If the Associate has their own web hosting account with the Supplier, then commissions earned by the Associate may not be used to offset the amount due to Supplier.
• SupplyLink will issue a payment to the Associate each month if the total amount due to the Associate is greater than AU$100.  If the amount due is less than AU$100 then it will be held by SupplyLink until the total amount payable exceeds AU$100, at which time a payment will be issued to the Associate for the total amount payable.
• SupplyLink will provide technical support directly to referred clients. SupplyLink will also bill referred clients directly.
• The Associate will not have access to referred clients' accounts unless that access is given to them by the referred client.  The referred client will be responsible for ensuring that their account is used in accordance with the terms and conditions outlined below.
• The Associate must only promote SupplyLink's services through their own web site or through personal contact with potential clients.  SupplyLink must not be promoted through SPAM, news groups, banner networks or similar channels.
• Any attempt to abuse or dishonestly use the referral system will result in immediate disqualification from the program and no commissions will be payable.  SupplyLink reserves the right to refuse or cancel your  Referral Plan membership at its sole discretion;

General Conditions on All Accounts (including resold accounts)

Resellers are responsible for the conduct of their clients on our servers.  Resellers are therefore required to ensure that they, and their clients, adhere to all of the terms and conditions expressed in our TERMS OF SERVICE. If there is conflict between this document (Associate/Reseller Terms and Conditions) and SupplyLink's Terms Of Service, then the TERMS OF SERVICE will apply.

Refusal of Payments.

Any or all payments will be refused if any Reseller or Associate is, at the sole discretion of the Supplier, deemed to have acted or is acting in a deceptive manner in endeavouring to procure commissions that are not their entitlement. All forms completed by their Client(s) must be accurate and correct to be entitled to any benefits. Should information supplied to Supplier prove to be inaccurate and or incorrect and additional work is incurred to correct same due to the negligence of the Client and or the Associate or Reseller then the Supplier reserves the right without notice and at our sole discretion to refuse and or cancel any Associate or Reseller entitlements.
